Terms of Use – Galleri SoHo
By using our website, mobile apps, physical gallery, or related services (“Services”), you agree to these Terms. If you do not agree, do not use our Services.
1. Acceptance of Terms
These Terms form a binding agreement between you and Galleri SoHo
By using our Services, you agree to:
- Resolve disputes with us through individual binding arbitration
- Waive your right to a jury trial or participation in class actions
2. Related Policies
By using our Services, you agree to comply with:
- Privacy Policy
- Anti-Discrimination Policy
- Seller Rules
- Buyer Rules
- Third-Party Rules (for affiliates, stylists, IP owners, etc.)
These policies are part of these Terms.
3. Privacy
We process your personal information as described in our Privacy Policy.
Sellers and Galleri SoHo are independent data controllers under EU law. Each party is responsible for handling data they process.
If we are found jointly responsible and incur costs due to your actions, you agree to reimburse us.
4. Accounts
To use certain Services, create an account.
You must:
- Be 18 or older (13–17 allowed with guardian permission and supervision)
- Provide accurate information
- Not impersonate others or use offensive names
- Keep your password secure
- Accept responsibility for all account activity
Accounts cannot be transferred.
5. Vendor Membership
- First 3 months: no commission, only membership package fee
- After 3 months: 10% commission + membership fee
- Vendors must include VAT in prices if applicable and issue receipts showing VAT breakdown
- Optional product upload service: €20 for up to 10 products
- Customer pays shipping; vendor must pack and ship
- Made-to-order products must note production time; no refunds unless damaged
- Membership auto-renews; cancel or pause by notifying us at least 1 month before renewal
- Fees are paid upfront; no refunds except in exceptional cases
6. Home Artist Membership
- Commission: 15–25% on sales plus membership fees
- Required Information:
- Product name, material, size, and final price
- Artist statement and biography
- High-quality photos
- Other details customers request
- Delivery & Installation:
- Artist delivers works ready for sale/display
- Artist provides special installation materials if needed
- Works cannot be removed during exhibition without written approval
- Drop-off Location: Västgötegatan 2A, 72211 Västerås, Sweden
- Transportation:
- Artist handles delivery, transport, and return of works
- Buyer covers delivery for sold items
- Pricing:
- Prices include all taxes and are rounded to whole numbers
- No price changes after listing without written approval
- Agreement Term:
- Minimum 3–6 months
- Auto-renews unless written notice given 1 month before end date
- Example: Membership ending May 26 requires notice by April 26
- Fees:
- Paid quarterly or in full upfront
- Non-refundable unless otherwise agreed in writing
- Promotions:
- Materials using our logo require written approval before printing/distribution
- Copyright:
- Artist retains copyright
- Galleri SoHo cannot reproduce works without written permission
- Force Majeure:
- Neither party liable for delays beyond control
- Sales & Payments:
- All sales processed by Galleri SoHo
- Payment to artist within 30 days of sale with full sales report
- Artist must ensure correct bank details; we are not responsible for failed transfers due to errors
- Uncollected Works:
- Works must be collected within 10 days of agreed pickup date
- Storage fee: €25/m²/month after 10 days
- If not collected within 90 days, works may be treated as abandoned and disposed of or sold without notice
- Breach of Agreement:
- Membership can be terminated immediately if the artist fails to pay fees, deliver works, collect works on time, or comply with these terms
- No refunds for terminated memberships; all outstanding amounts remain payable
By joining as a Home Artist Member, you accept these terms.
7. Exhibitions
- Works must be collected within 10 days after the exhibition or storage fee applies (€25/m²/month)
- Exhibitors handle shipping to/from gallery and all costs
- Works must be ready to hang and uploaded to the website before the exhibition starts
- Provide approved inventory list before shipping
- Non-EU shippers must attach customs documentation and cover import fees
- At exhibition end, arrange prompt pickup and provide shipment ticket
Pop-Up Exhibitions
- The pop-up exhibitions are additional opportunities included for Advanced Members and Home Artists.
- They are not guaranteed or mandatory deliverables and are offered as an added benefit within the membership framework.
- Participation: Only Advanced Members and Home Artists may participate.

Each eligible artist may send up to 2 pieces, maximum size 60 x 60 cm (24 x 24 inches), included in the membership.
Submit participation by email. - Additional Space:
Members who wish to exhibit more works may purchase extra space, which will be applied to another pop-up exhibition of their choice if a scheduled one is postponed or changed. - Shipping Responsibilities:
Exhibitors are responsible for the shipment of artworks to and from the venue, including all related costs, customs, and documentation.
Galleri SoHo may facilitate group shipment on some occasions for an additional handling fee. - Schedule & Venue Changes:
Exhibition dates, venues, or formats (e.g., online or physical) may be changed, postponed, or canceled.
If a pop-up exhibition is rescheduled, participating Advanced or Home Artists may choose another available pop-up instead. - These conditions are clearly stated here and apply to all members participating in pop-up exhibitions.
8. Buyer Terms (General – applies to all buyers)
When purchasing through Galleri SoHo, you agree to:
- Accurate Information: Provide correct contact and payment details.
- Payment: Pay in full at time of purchase, including applicable taxes, customs duties, and shipping fees if delivery is arranged.
- Made-to-Order Items: Production begins after payment. No refunds or returns unless the item arrives damaged.
- Returns and Refunds:
- Only if stated in the listing or agreed in writing before purchase.
- Requests must be made within 14 days of delivery or purchase.
- Returned items must be in original condition and packaging.
- Buyer covers return shipping unless otherwise agreed in writing.
- Refunds are processed after inspection of returned goods.
- Damaged Items:
- Notify Galleri SoHo within 48 hours of delivery or purchase.
- Provide photos if applicable.
- Customs and Import Fees: Buyers outside Sweden are responsible for all customs charges, duties, and taxes.
- Disputes: Contact Galleri SoHo directly.
- Prohibited Conduct:
- No fraudulent orders or stolen payment methods.
- No threatening or abusive behaviour toward staff.
9. Buyers – In-Store
These terms apply to purchases made directly in Galleri SoHo’s physical gallery.
Payment
- Payment in full is required at point of sale.
- Accepted methods: cash (SEK), card, or other options displayed in-store.
Receipts
- A receipt is provided for every transaction.
- VAT is included where applicable.
Collection of Purchased Works
- Items may be taken immediately unless otherwise stated.
- For works remaining in the gallery (e.g., part of an ongoing exhibition), collection date will be agreed in writing.
- If collection is delayed beyond 10 days of the agreed date, storage fees may apply (€25/m²/month).
Returns & Refunds
- Standard items: 14-day return period from date of purchase unless marked as final sale.
- Made-to-order or customised works: no returns unless defective.
- Returned items must be in original condition and packaging.
- Refunds are issued after inspection.
Damaged Items
- Inspect works before leaving the gallery.
- Any damage claims must be reported within 48 hours of collection.
Delivery
- If delivery is arranged, buyer pays all related fees unless otherwise agreed.
- Risk transfers to buyer upon collection from gallery or delivery to the agreed address.
Prohibited Conduct
- No fraudulent payment.
- No abusive or disruptive behaviour in the gallery.
10. Online Client Terms
These terms apply to purchases made through Galleri SoHo’s online store.
Ordering
- All orders are subject to availability and acceptance.
- Product descriptions, prices, and images are accurate to the best of our ability but may vary slightly from the actual item.
- Prices are shown in EUR or SEK and include VAT where applicable.
- You must provide accurate contact and shipping details when placing an order.
Payment
- Payment is required in full at checkout.
- We accept the payment methods listed at checkout.
- Your payment is processed securely by our payment provider.
Shipping
- Shipping fees are calculated at checkout and paid by the client unless otherwise stated.
- Delivery times are estimates and may vary due to customs or courier delays.
- We are not liable for delays outside our control.
- Risk of loss passes to you upon delivery to the shipping address provided.
International Orders
- Clients outside Sweden are responsible for all customs duties, taxes, and fees charged by their country.
- Customs delays are beyond our control and may affect delivery times.
Returns & Refunds
- Standard products: You may request a return within 14 days of receiving your order.
- Made-to-order or customised products: No returns unless damaged on arrival.
- All returns must be in original condition and packaging.
- You are responsible for return shipping costs unless otherwise agreed.
- Refunds are issued after inspection of returned goods.
Damaged or Incorrect Items
- Notify us within 48 hours of delivery if your order is damaged or incorrect.
- Provide photos of the item and packaging.
- We may require you to return the item before replacement or refund.
Cancellations
- Orders can only be cancelled before dispatch.
- Once dispatched, the order is treated as a return.
Prohibited Conduct
- Do not use false information or payment methods without authorisation.
- Do not abuse or threaten Galleri SoHo staff.
11. Your Content
You retain ownership but grant Galleri SoHo a worldwide, royalty-free license to use, display, reproduce, and promote your content through our Services.
You are responsible for having rights to all content you post.
12. Using Our Services
You must:
- Follow all laws and regulations
- Pay all fees and taxes owed
- Not engage in prohibited conduct (fraud, scraping, reverse engineering, system disruption)
- Not use our trademarks without permission
- Accept that ideas you submit may be used without compensation
13. Termination
- You may close your account anytime; outstanding bills remain payable
- Memberships auto-renew; cancel by email at least 1 month before renewal
- We may suspend or terminate your account for violations
- We may change, suspend, or discontinue Services at any time
14. Warranties & Liability
Services are provided “as is” without warranties.
We are not responsible for:
- Quality, safety, or legality of items sold by others
- Content posted by users
- Interactions with other users
- Third-party services linked from our platform
Our total liability is limited to the greater of $100 or the amount you paid us in the last 12 months.
15. Indemnification
You agree to defend and indemnify Galleri SoHo from claims, costs, or legal fees arising from your actions, content, or breach of these Terms.
16. Disputes
- Disputes with other users should be resolved directly where possible
- Disputes with Galleri SoHo are governed by Swedish law (Västmanland)
17. Changes to Terms
We may update these Terms. Continued use of our Services after changes means you accept the updated version.

19. Nature of Our Services
Galleri SoHo provides hybrid services that include both physical and digital components.
Our memberships and collaborations are service-based agreements — not purely digital subscriptions.
By purchasing any membership, you acknowledge and agree that:
- Services include physical exhibition space, art handling, installation, transport coordination, and marketing representation.
- Digital tools such as artist profiles, online promotion, and communications are provided as part of the overall service but are not the sole component.
- Because parts of the service are delivered physically and continuously throughout the membership term, these agreements do not qualify as purely digital services under EU consumer law.
- Payments cover administrative, promotional, logistical, and physical representation costs that begin once the membership term starts.
- Therefore, fees are non-refundable once service delivery has commenced, except where required by law or mutually agreed in writing.
- Memberships renew automatically unless cancelled in accordance with the notice periods set out in these Terms.
Galleri SoHo is an independent artist collective and gallery space.
Membership fees support operational costs, exhibitions, marketing, and shared access to gallery resources for all members.
